These Terms of Service ("Terms") govern your access to and use of the DTF Gang Sheet App website, builder application, and related services (collectively, the "Service") operated by DTFGSA, Inc. ("we," "our," or "us"), a Delaware C-corporation.
By accessing or using the Service, you agree to be bound by these Terms. If you do not agree, do not use the Service.
The DTF Gang Sheet App is an online tool that allows users to create, design, and arrange DTF (Direct to Film) gang sheets. The Service includes a visual gang sheet builder, design upload and management tools, auto-nesting functionality, and order processing capabilities. The Service may be accessed directly through our website or embedded within third-party platforms such as Shopify stores.
You must be at least 18 years of age or the age of majority in your jurisdiction to use the Service. By using the Service, you represent and warrant that you meet this requirement and have the legal capacity to enter into these Terms.
Certain features of the Service may require you to create an account. You agree to provide accurate, current, and complete information during registration and to keep your account information up to date. You are responsible for maintaining the confidentiality of your account credentials and for all activities that occur under your account. We do not verify, endorse, or assume responsibility for User Content. We do not provide legal clearance, copyright verification, or licensing validation of uploaded content.
The Service, including its software, design, features, functionality, documentation, and branding, is owned by DTFGSA, Inc. and protected by intellectual property laws. You may not copy, modify, distribute, sell, or create derivative works based on any part of the Service without our written consent.
We reserve the right to remove or refuse any User Content that, in our sole discretion, violates these Terms, applicable law, or may expose us to liability. We will comply with valid DMCA takedown notices and other intellectual property claims.
Prices for gang sheet services are displayed in the Service and may vary based on sheet size, quantity, and other factors. We reserve the right to change pricing at any time. Prices in effect at the time of your order will apply to that order.
All payments are processed by Stripe, Inc. By placing an order, you agree to Stripe's terms of service. We do not store your payment card details. All transactions are subject to Stripe's standard processing fees and security measures.
Your submission of an order constitutes an offer to purchase. We reserve the right to accept or decline any order at our discretion, including orders that contain potentially infringing content.

TO THE FULLEST EXTENT PERMITTED BY LAW, DTFGSA, INC. AND ITS OFFICERS, DIRECTORS, EMPLOYEES, AND AGENTS SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING LOSS OF PROFITS, DATA, BUSINESS, OR GOODWILL, ARISING OUT OF OR RELATED TO YOUR USE OF OR INABILITY TO USE THE SERVICE, REGARDLESS OF THE THEORY OF LIABILITY.
OUR TOTAL LIABILITY FOR ANY CLAIMS ARISING FROM OR RELATED TO THE SERVICE SHALL NOT EXCEED THE AMOUNT YOU PAID TO US IN THE 12 MONTHS PRECEDING THE CLAIM.

These Terms are governed by the laws of the State of Delaware, United States, without regard to conflict of law principles. Any disputes arising from these Terms or your use of the Service shall be resolved through binding arbitration in accordance with the rules of the American Arbitration Association, conducted in the English language. The arbitration shall take place remotely (via video conference) or in Wilmington, Delaware. You waive any right to participate in a class action lawsuit or class-wide arbitration.
We may terminate or suspend your access to the Service at any time, with or without cause, with or without notice. Upon termination, your right to use the Service ceases immediately. Sections that by their nature should survive termination will survive, including intellectual property provisions, disclaimers, limitations of liability, and indemnification.
We may update these Terms from time to time. We will notify you of material changes by posting the updated Terms on this page and updating the "Last updated" date. Your continued use of the Service after changes constitutes acceptance of the updated Terms.
If any provision of these Terms is found to be invalid or unenforceable, the remaining provisions will continue in full force and effect.
